Business valuation · Singapore

Know what your business is worth before a buyer tells you.

A written business valuation for Singapore SMEs, built from your accounts under NDA and led by Benjamin Tan from start to finish. A fixed fee from S$3,000, credited in full against our success fee if you go on to sell with us.

A few minutes, no documents needed. Within two working days you get a written recommendation on which valuation fits, the exact fee and the timeline, at no cost and with no obligation.

Why it matters

Most owners sell on a guess. Buyers never do.

Every serious buyer arrives with an accountant and a model. If you go into that conversation without your own number, and the workings to back it, the buyer sets the price. That usually goes wrong in one of three ways.

Price it too high

The business sits, the best buyers move on, and the price you finally accept is often lower than a realistic one would have been.

Price it too low

On a business earning S$600,000 a year, half a turn of the multiple is S$300,000. Owners rarely find out what they left behind.

Find out in due diligence

Undocumented add-backs, a short lease or one large customer come out late, when the buyer has the leverage to cut the price or move part of it into an earn-out.

What the report covers

A number you can defend, and the workings behind it.

01

Your maintainable profit, rebuilt

We go through your accounts line by line: owner pay, one-off items, related-party costs, personal expenses and the real cost of replacing what you do. You see every adjustment and why it was made.

02

A value range you can defend

Where your business sits against conservative Singapore SME multiples for your sector and size, and the reasons it sits there rather than higher or lower.

03

What you would actually receive

The step from business value to money in your hands: debt, surplus cash and working capital, and how much buyers usually pay at completion versus later.

04

The risks a buyer will find

A written list of what a buyer’s accountant and lawyer will question, so nothing surprises you in due diligence.

05

What would lift the value

The changes worth making before a sale, ranked by how much they are likely to move the price.

06

An honest view on timing

Whether to go to market now, or prepare first. If the answer is not yet, we will say so.

Benjamin Tan, Founder of Clearmere
Who prepares it

Led by Ben, and signed off by him.

Benjamin Tan has spent close to twelve years advising owners of Singapore businesses, and leads the advisory team behind more than 70 owner-operated transactions. He has also built, scaled and sold businesses of his own, so he reads a lease, a licence or a key-person risk the way an operator does.

Because he negotiates these deals, the valuation is built the way a buyer will build theirs: from maintainable profit, with every adjustment shown, and with the risks named before anyone else names them. You deal with him directly, from your first question to the final walk-through.

The fee

Fixed, agreed upfront, and credited back if you sell with us.

Written valuationFrom S$3,000

The exact fee depends on the size and complexity of the business. We confirm it in writing, with the timeline, before any work starts, and it is paid before we begin.

If you sign with us within 6 months and the sale completes, the full fee is credited against our success fee. You are under no obligation to sell, or to sell with us. See all our fees.

Right for you if

  • You are thinking about selling in the next one to three years
  • You want to bring in a partner or investor and need a number to negotiate from
  • You are buying out a partner, or being bought out
  • You want to know what would make the business worth more before you decide anything

Not the right fit for

  • A formal valuation for a court, tax, audit or regulatory purpose. That needs an accredited valuer.
  • A business with revenue under about S$1m. The free valuation calculator will tell you most of what you need.
Questions owners ask

Before you start.

Why is the valuation not free?

Because a number you can rely on takes days of work on your accounts. A free valuation is usually a sales pitch with a flattering number attached, which is how owners end up overpricing and stalling. Our fee is fixed, agreed in writing before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes.

Do I have to sell, or sell with Clearmere, afterwards?

No. The report is yours to use however you like, including deciding not to sell. If you do sell with us, the fee comes back to you as a credit against our success fee.

Is this a formal or certified valuation?

No. It is an M&A valuation: what a buyer is likely to pay for your business, and why, prepared by an adviser who negotiates these deals. If you need a valuation for a court, tax, audit or regulatory purpose, you need an accredited valuer instead.

Will anyone find out I am thinking of selling?

No. Everything you share is covered by an NDA, nothing is shown to any buyer, and the questionnaire does not need your business name. Your accounts are never shown to a buyer without your say-so.

What do I need to send?

Nothing to start. After the recommendation, we ask for three years of financial statements, this year’s management accounts, and a note of the personal or one-off costs that run through the business. We ask for anything else, such as your lease, only if it affects the value.

How long does it take?

The written recommendation comes within two working days of your questionnaire. It includes the timeline for the valuation itself, which depends mainly on how quickly the accounts and any follow-up questions can be answered.
