A confidential way for owners of Singapore accounting, bookkeeping, corporate secretarial and consultancy firms to understand what the firm is worth and explore a sale. No listing, no staff whispers, and nothing reaches your clients until you decide.
A private read on your number. No commitment, no call required, nothing on the record.
Most owners we speak to have spent years building what they have. When they start to think about selling, the same three worries surface. We take all three off your plate, in this order.
Client relationships rest on trust and continuity. Nothing is listed and nothing is named, so your team and your clients hear about a sale from you, on your timing, never from the market.
Most owners guess at their number. We start with a clear, evidence-based view of value and prepare your financials so a buyer pays for what the firm is genuinely worth.
A signed offer is the easy part. We run the process to completion, including the awkward steps, so it holds together to the end rather than drifting and dying.
The promise should feel concrete, not like a slogan. Here is exactly how your name, your team and your clients stay protected until you are ready.
Your firm is shown only after a buyer has signed an NDA and you have approved them by name. No open marketplace, no broker board.
Early documents carry a reference code, not your name or address, so nothing identifying circulates while interest is being gauged.
You approve every step and every buyer before they learn who you are. The process runs at your pace, never ahead of it.
Buyers of accounting and corporate services firms pay for fees that keep coming after the owner steps back. We normalise the accounts, evidence how much of the fee base recurs and is retained year on year, and present earnings a buyer can rely on.
We normalise your financials so the buyer sees the true earning power of the firm, not the owner's personal lens on it.
Annual compliance, bookkeeping and secretarial engagements are worth far more to a buyer than one-off advisory work. We measure how much of your fee base recurs and how much of it stays, because that is what a buyer is really buying.
Where clients deal only with you, a buyer prices the risk that they leave when you do. A capable manager layer and documented processes move the number, and we structure the handover around them.
Businesses like yours in Singapore typically sell for 3x to 4x normalised EBITDA.
Firms with a high share of retained recurring compliance and secretarial fees and a manager layer below the owner sit at the upper end, while owner-dependent practices and project-led consultancies sit lower, at about 2.5 to 3.5 times. The upper end, around 5x, usually needs competing buyers and a business that runs without you. These are conservative ranges from Singapore SME transactions, not a valuation.
We approach accounting and corporate services groups, regional firms and individual practitioners quietly, the buyers who value a loyal client base and a team that stays.
Client engagement letters, regulatory registrations, the treatment of any audit work, staff retention and fee continuity are handled early, not surfaced late and left to break trust.
Your name stays out of the market until an NDA is signed. No public listing, no broker board, nothing your team can stumble on.
You work directly with Ben from start to finish. No being handed to a junior once the engagement begins.
Our job is a deal that closes, not a listing that lingers for a year. We manage the path from offer to a clean close.
We read the things a generalist broker misses, the dependencies a buyer probes and that quietly cut a price if ignored.

Start with a short questionnaire by email, under NDA. For a fixed fee, we tell you honestly what your firm is worth and what would lift it.
If a sale fits, we agree the approach. If the timing is wrong, we can stay on as your adviser and get the business ready to sell.
We approach the right buyers discreetly, each NDA-gated and approved by you. Never the open market.
We manage due diligence, licence and lease transfer, and the difficult conversations, through to signing.
Off-market and NDA-gated. At Clearmere nothing is publicly listed and nothing carries your name. Early materials use a reference code instead of your firm name, buyers see identifying details only after signing an NDA you have approved by name, and you decide when your team and clients are told. In a profession where competitors are always happy to take a call from an unsettled client, that discipline protects the fee base you are selling.
A firm is priced off normalised earnings, meaning the accounts adjusted for owner-specific costs, including a market salary for your own work. What moves the number most is how much of the fee base recurs and is retained year on year, how many clients deal only with you, and whether a manager layer can run the work. Owner-operated accounting and corporate services firms in Singapore typically change hands at roughly 3 to 4 times normalised EBITDA, with up to about 5 times only for larger firms with strong recurring fees and competing buyers. Consultancies usually sit lower. We give you a written valuation under NDA, for a fixed fee credited against our success fee if you sell with us.
Mostly larger accounting and corporate services groups adding clients and capacity, regional firms building a Singapore presence, and individual practitioners or senior managers stepping up to ownership, sometimes as a management buyout. Groups tend to pay for a recurring fee base and systems. Individual buyers pay for a practice they can personally run. Approaching several quietly, in parallel, usually protects the price better than accepting the first approach from a firm down the road.
Usually, but the audit side needs care. Public accounting work is regulated by ACRA, and an audit practice generally has to remain owned and controlled by public accountants. In practice a buyer who is not a public accountant usually takes the non-audit units, such as accounting, tax and corporate secretarial work, while the audit practice goes to another public accounting firm. Corporate secretarial work may also need its own registration with ACRA. The exact position depends on your structure, so settle it early with your lawyer.
Our sale fee is success-based and paid on completion: no sale, no fee. A written valuation is a separate fixed fee, agreed and paid before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes. The first conversation, a short questionnaire and our written recommendation on which valuation fits are free and carry no obligation.
Client retention is the central risk a buyer prices in this sector, because fees can leave with the person who earns them. Deals for accounting and corporate services firms therefore often include a transition period in which you introduce clients personally, with part of the price deferred or linked to the fees retained over the following year or two. Those terms are negotiable and worth negotiating properly. We put a handover plan on the table at the start, so retention becomes a shared goal rather than a late lever to cut the price.

Clearmere is confidential M&A advisory for owner-operated SMEs, typically S$1m to S$20m in revenue. The lower-mid market the large firms overlook and generalist brokers tend to fumble. You get senior attention on your sale, not a junior and a template.
Ben takes on a small number of mandates at a time, personally. The 70-plus deal record sits with the advisory team and is honest experience across owner-operated Singapore businesses, now being extended to established businesses across sectors.
Your valuation is private, and there is no obligation to sell. If it is not the right time, you keep the report and have told no one.
