Confidential M&A advisory · E-commerce & D2C brands · Singapore

Sell your brand without a word getting out.

A confidential way for owners of Singapore e-commerce and direct-to-consumer brands to understand what the business is worth and explore a sale. No listing, no marketplace chatter, and nothing reaches your team, suppliers or customers until you decide.

A private read on your number. No commitment, no call required, nothing on the record.

What owners tell us

You built it. Now you want a quiet way out.

Most owners we speak to have spent years building what they have. When they start to think about selling, the same three worries surface. We take all three off your plate, in this order.

The first worry

Suppliers, staff and competitors finding out

Online, a brand known to be for sale invites copycats and nervous suppliers. Nothing is listed and nothing is named, so the people who matter hear it from you, on your timing.

The second worry

Leaving money on the table

Most owners guess at their number. We start with a clear, evidence-based view of value and prepare your financials so a buyer pays for what the brand is genuinely worth.

The third worry

The deal falling through

A signed offer is the easy part. We run the process to completion, including the awkward steps, so it holds together to the end rather than drifting and dying.

How we protect you

Confidentiality is the starting point, not an add-on.

The promise should feel concrete, not like a slogan. Here is exactly how your name, your team and your customers stay protected until you are ready.

Buyers see nothing until they sign

Your brand is shown only after a buyer has signed an NDA and you have approved them by name. No open marketplace, no broker board.

Materials are code-named

Early documents carry a reference code, not your name or address, so nothing identifying circulates while interest is being gauged.

Nothing moves without your say-so

You approve every step and every buyer before they learn who you are. The process runs at your pace, never ahead of it.

What your brand is worth

A properly argued number protects your price.

Online brands are valued on the profit a buyer can keep, not on revenue or followers. We normalise the accounts, test the advertising add-backs, separate repeat customers from paid ones and present earnings a buyer can believe.

01

Earnings and add-backs

We normalise your financials so the buyer sees the true earning power of the brand, not the owner's personal lens on it.

02

Channel mix and repeat customers

A brand selling mostly through its own site to returning customers is worth more than one that depends on Shopee, Lazada or Amazon. We evidence the mix, the repeat rate and what each new customer costs to win.

03

Ad costs, stock and founder dependence

Rising ad costs, generous ad-spend add-backs and a founder who is the face of the brand all cut value. Saleable stock is usually paid for on top, at cost. We get ahead of each before a buyer raises it.

Indicative range

Businesses like yours in Singapore typically sell for 2x to 3x normalised EBITDA.

Owned direct-to-consumer brands with over half their sales on their own site and a strong base of repeat customers sit towards the top of the range, while sellers that depend on Shopee, Lazada or Amazon or on rising ad spend sit towards the bottom, and saleable stock is added on top at cost. The upper end, around 4x, usually needs competing buyers and a business that runs without you. These are conservative ranges from Singapore SME transactions, not a valuation.

Why Clearmere

The right buyers, approached quietly

We approach strategic brands, distributors and individual buyers quietly, the people who understand online margins and pay for a brand with customers of its own.

We manage the hard transfers

Store and marketplace accounts, ad accounts, domains and trademarks, supplier and manufacturer terms, stock counts and customer data are handled early, not surfaced late.

Discretion by default

Your name stays out of the market until an NDA is signed. No public listing, no broker board, nothing your team can stumble on.

You deal with the founder

You work directly with Ben from start to finish. No being handed to a junior once the engagement begins.

Certainty of completion

Our job is a deal that closes, not a listing that lingers for a year. We manage the path from offer to a clean close.

An operator's eye on risk

We read the things a generalist broker misses, the dependencies a buyer probes and that quietly cut a price if ignored.

The team behind 70+ owner-operated transactions across Singapore, now extending the same playbook to established businesses across sectors.

How it works

Four quiet steps to a clean close.

01

A confidential valuation

Start with a short questionnaire by email, under NDA. For a fixed fee, we tell you honestly what your brand is worth and what would lift it.

02

A clear picture of your options

If a sale fits, we agree the approach. If the timing is wrong, we can stay on as your adviser and get the business ready to sell.

03

A quiet, targeted process

We approach the right buyers discreetly, each NDA-gated and approved by you. Never the open market.

04

A clean completion

We manage due diligence, licence and lease transfer, and the difficult conversations, through to signing.

Questions owners ask

Straight answers, before you speak to anyone.

How do I sell my e-commerce business in Singapore confidentially?

Off-market. Nothing is publicly listed and nothing carries your name. Early materials use a reference code rather than your brand name, store links or anything else that would identify you, buyers see identifying details only after signing an NDA you have approved by name, and you decide when your team, suppliers and manufacturers are told. Online that discipline matters, because a brand known to be for sale invites copycats and unsettles suppliers.

What is my e-commerce business worth?

An online brand is priced off normalised earnings, not revenue. That means a market salary for every role you fill, market rent for any space you own, a realistic level of ad spend, and removing one-offs such as a viral month. Channel mix, repeat customers, margin after fulfilment and ad costs move the number most. Owner-operated e-commerce businesses in Singapore typically change hands at roughly 2 to 3 times normalised EBITDA, with up to about 4 times only for owned D2C brands with most sales on their own site, loyal repeat customers and competing buyers. We give you a valuation in writing, under NDA, for a fixed fee credited against our success fee if you sell with us.

Who buys e-commerce brands in Singapore?

Mostly strategic brands adding a product line or a customer base, distributors and retailers moving into direct sales, and individual buyers looking for a business they can run themselves. The aggregators that bought many online brands a few years ago have become far fewer and more selective in Southeast Asia since 2022, so it is wiser not to plan around them. Each buyer values the same brand differently, which is why a quiet, competitive process usually beats accepting the first approach.

What happens to my stock, platform accounts and ad accounts?

Stock is usually counted at completion and paid for at cost, on top of the price for the business, so it pays to clear slow and obsolete lines beforehand. Marketplace seller accounts, ad accounts and some apps have their own rules on transfers and changes of ownership, and some cannot be moved at all, which can decide whether a sale of shares or of the business and assets works better. Check each platform's terms with your lawyer early. Customer data generally needs to be handed over in line with the PDPA.

What does Clearmere charge to sell an e-commerce business?

Our sale fee is success-based and paid on completion: no sale, no fee. A written valuation is a separate fixed fee, agreed and paid before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes. The first conversation, a short questionnaire and our written recommendation on which valuation fits are free and carry no obligation.

Will I have to accept an earn-out?

Often part of the price is deferred, particularly where the founder is the face of the brand or sales have moved sharply in the last year. A buyer uses an earn-out or deferred payment to share the risk that sales fall once you step back. It is not automatically bad, but the terms matter: what is measured, who controls the ad budget and pricing during the earn-out, and how disagreements are settled. We push for as much cash at completion as the business supports, and for targets you can actually influence.
