Confidential M&A advisory · Cleaning, security & facilities management · Singapore

Sell your company without a word getting out.

A confidential way for owners of Singapore cleaning, security guarding and facilities management companies to understand what the business is worth and explore a sale. No listing, no market chatter, and nothing reaches your clients, competitors or site teams until you decide.

A private read on your number. No commitment, no call required, nothing on the record.

What owners tell us

You built it. Now you want a quiet way out.

Most owners we speak to have spent years building what they have. When they start to think about selling, the same three worries surface. We take all three off your plate, in this order.

The first worry

Clients and competitors finding out

In a contract business, a rumour can reach clients and rival bidders before the next tender. Nothing is listed and nothing is named, so your clients and your teams hear about a sale from you, on your timing.

The second worry

Leaving money on the table

Most owners guess at their number. We start with a clear, evidence-based view of value and prepare your financials so a buyer pays for what the company is genuinely worth.

The third worry

The deal falling through

A signed offer is the easy part. We run the process to completion, including the awkward steps, so it holds together to the end rather than drifting and dying.

How we protect you

Confidentiality is the starting point, not an add-on.

The promise should feel concrete, not like a slogan. Here is exactly how your name, your team and your clients stay protected until you are ready.

Buyers see nothing until they sign

Your company is shown only after a buyer has signed an NDA and you have approved them by name. No open marketplace, no broker board.

Materials are code-named

Early documents carry a reference code, not your name or address, so nothing identifying circulates while interest is being gauged.

Nothing moves without your say-so

You approve every step and every buyer before they learn who you are. The process runs at your pace, never ahead of it.

What your company is worth

A properly argued number protects your price.

Contract services companies are valued on how secure and how profitable their contracts really are. We normalise the accounts, set out the contract book by term, renewal date and margin, and present earnings a buyer can underwrite.

01

Earnings and add-backs

We normalise your financials so the buyer sees the true earning power of the company, not the owner's personal lens on it.

02

Contract book, tenure and re-tender risk

Multi-year contracts and a record of renewals are worth more than short public tenders that are re-tendered on price. Concentration in any one client is a risk a buyer will price.

03

Manpower, wage costs and licences

Progressive Wage Model step-ups, foreign worker quotas and the company's licences shape both the margin and the deal structure. We show how costs pass through to contracts and how licences stay with the company.

Indicative range

Businesses like yours in Singapore typically sell for 2.5x to 3.5x normalised EBITDA.

Single-service cleaning and security companies sit at about 2.5 to 4.5 times, while integrated FM businesses with engineering content and multi-year contracts can reach about 3 to 5.5 times, and heavy reliance on government tenders re-tendered on price pulls the multiple down. The upper end, around 4.5x, usually needs competing buyers and a business that runs without you. These are conservative ranges from Singapore SME transactions, not a valuation.

Why Clearmere

The right buyers, approached quietly

We approach facilities management groups, regional and international service companies, competitors and management teams quietly, the buyers who pay for a stable contract book and a workforce that stays.

We manage the hard transfers

Licences held by the company, change-of-control clauses in contracts, foreign worker quotas, wage cost step-ups and supervisor retention are handled early, not surfaced late.

Discretion by default

Your name stays out of the market until an NDA is signed. No public listing, no broker board, nothing your team can stumble on.

You deal with the founder

You work directly with Ben from start to finish. No being handed to a junior once the engagement begins.

Certainty of completion

Our job is a deal that closes, not a listing that lingers for a year. We manage the path from offer to a clean close.

An operator's eye on risk

We read the things a generalist broker misses, the dependencies a buyer probes and that quietly cut a price if ignored.

The team behind 70+ owner-operated transactions across Singapore, now extending the same playbook to established businesses across sectors.

How it works

Four quiet steps to a clean close.

01

A confidential valuation

Start with a short questionnaire by email, under NDA. For a fixed fee, we tell you honestly what your company is worth and what would lift it.

02

A clear picture of your options

If a sale fits, we agree the approach. If the timing is wrong, we can stay on as your adviser and get the business ready to sell.

03

A quiet, targeted process

We approach the right buyers discreetly, each NDA-gated and approved by you. Never the open market.

04

A clean completion

We manage due diligence, licence and lease transfer, and the difficult conversations, through to signing.

Questions owners ask

Straight answers, before you speak to anyone.

How do I sell my cleaning or security company in Singapore without clients finding out?

Off-market and NDA-gated. Nothing is publicly listed and nothing carries your name. Early materials use a reference code instead of your company name, and buyers see identifying details only after signing an NDA you have approved by name. Contract and client details are released in stages, once a buyer is serious, which matters when some interested parties may also bid against you for work. You decide when your clients, supervisors and site teams are told.

What is my cleaning, security or FM company worth?

It is priced off normalised earnings, meaning the accounts adjusted for owner-specific costs. What moves the number most is the contract book: contract length, renewal record, client mix, margin by contract, and how much depends on public tenders re-tendered on price. Buyers also test how wage step-ups pass through to clients. Owner-operated cleaning and security companies in Singapore typically change hands at roughly 2.5 to 3.5 times normalised EBITDA, up to about 4.5 times for the strongest. Integrated FM businesses with engineering content and multi-year contracts can sit higher, at roughly 3 to 5.5 times. We give you a written valuation under NDA, for a fixed fee credited against our success fee if you sell with us.

Who buys cleaning, security and facilities management companies in Singapore?

Mostly larger facilities management and integrated services groups adding contracts, capabilities or scale, regional and international service companies building a Singapore presence, competitors consolidating in the same segment, and management teams buying the company they already run. Some private equity-backed platforms also assemble service businesses. Each values the same contract book differently, depending on how it fits their existing sites and costs, which is why a quiet competitive process usually beats the first approach.

Do my licences and contracts transfer when I sell?

Licences such as an NEA cleaning business licence or a PLRD security agency licence are generally held by the company itself, and foreign worker quotas are tied to the employing entity. That is why most sales in this sector are share sales: the company, with its licences, workforce and contracts, stays intact under new owners. Even then, some contracts contain change-of-control clauses, and the licensing authorities may need to be notified of or approve changes in ownership, so check the position with your lawyer early. We review the contract book for these points before any buyer is approached.

What does Clearmere charge to sell a cleaning, security or FM company?

Our sale fee is success-based and paid on completion: no sale, no fee. A written valuation is a separate fixed fee, agreed and paid before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes. The first conversation, a short questionnaire and our written recommendation on which valuation fits are free and carry no obligation.

How do government tenders and wage step-ups affect my price?

Buyers look closely at both. Public sector contracts bring valuable volume, but they are usually re-tendered on price at the end of each term, so a buyer will not pay much for earnings that may not survive the next round. Progressive Wage Model step-ups raise costs on a set schedule, and the question is whether your contracts allow them to be passed through. Showing contract terms, renewal history and how wage increases have been handled in practice is what protects the number.
