A confidential way for owners of Singapore recruitment, staffing and employment agencies to understand what the agency is worth and explore a sale. No listing, no consultant chatter, and nothing reaches your clients or candidates until you decide.
A private read on your number. No commitment, no call required, nothing on the record.
Most owners we speak to have spent years building what they have. When they start to think about selling, the same three worries surface. We take all three off your plate, in this order.
In recruitment your consultants hear things first, and the best of them take calls every week. Nothing is listed and nothing is named, so your team and your clients hear it from you, on your timing.
Most owners guess at their number. We start with a clear, evidence-based view of value and prepare your financials so a buyer pays for what the agency is genuinely worth.
A signed offer is the easy part. We run the process to completion, including the awkward steps, so it holds together to the end rather than drifting and dying.
The promise should feel concrete, not like a slogan. Here is exactly how your name, your team and your clients stay protected until you are ready.
Your agency is shown only after a buyer has signed an NDA and you have approved them by name. No open marketplace, no broker board.
Early documents carry a reference code, not your name or address, so nothing identifying circulates while interest is being gauged.
You approve every step and every buyer before they learn who you are. The process runs at your pace, never ahead of it.
Recruitment agencies are valued on gross profit and how repeatable it is, never on revenue. We normalise the accounts, separate contract and temporary margin from one-off permanent fees, and show how much of the billing sits below you.
We normalise your financials so the buyer sees the true earning power of the agency, not the owner's personal lens on it.
A running book of contractors or temporary staff earns margin every week, while permanent placements start again from zero each month. A buyer pays more for the first, so we evidence the split and how durable the contract book is.
If you are the top biller, a buyer prices the risk that the desk empties when you leave. Consultant tenure, a management layer and a spread of clients all move the number, and we structure the handover around them.
Businesses like yours in Singapore typically sell for 2.5x to 3.5x normalised EBITDA.
Contract and temporary staffing agencies with a management layer below the owner sit at the upper end, while permanent placement desks billed mainly by the owner sit at the bottom of the range. The upper end, around 5x, usually needs competing buyers and a business that runs without you. These are conservative ranges from Singapore SME transactions, not a valuation.
We approach recruitment groups, regional staffing businesses and individual buyers quietly, the people who read a gross profit line properly and pay for a team that stays.
The MOM licence position, key appointment holders, client terms of business, contractor arrangements and consultant retention are handled early, not surfaced late and left to break trust.
Your name stays out of the market until an NDA is signed. No public listing, no broker board, nothing your team can stumble on.
You work directly with Ben from start to finish. No being handed to a junior once the engagement begins.
Our job is a deal that closes, not a listing that lingers for a year. We manage the path from offer to a clean close.
We read the things a generalist broker misses, the dependencies a buyer probes and that quietly cut a price if ignored.

Start with a short questionnaire by email, under NDA. For a fixed fee, we tell you honestly what your agency is worth and what would lift it.
If a sale fits, we agree the approach. If the timing is wrong, we can stay on as your adviser and get the business ready to sell.
We approach the right buyers discreetly, each NDA-gated and approved by you. Never the open market.
We manage due diligence, licence and lease transfer, and the difficult conversations, through to signing.
Off-market and NDA-gated. Nothing is publicly listed and nothing carries your name. Early materials use a reference code instead of your agency name and licence details, buyers see identifying details only after signing an NDA you have approved by name, and you decide when your consultants are told. That matters more in recruitment than in most sectors, because a rumour can prompt your best billers to take calls from competitors before anything is agreed.
An agency is priced off normalised earnings, meaning the accounts adjusted for owner-specific costs, including a market salary for any desk you run yourself. Buyers look at gross profit, never revenue, then at the split between contract margin and permanent fees, how much is billed by you, consultant tenure and client concentration. Owner-operated recruitment agencies in Singapore typically change hands at roughly 2.5 to 3.5 times normalised EBITDA, with up to about 5 times only for larger, contract-led agencies with a management layer and competing buyers. We give you a written valuation under NDA, for a fixed fee credited against our success fee if you sell with us.
Larger recruitment and staffing groups adding a specialism or a contractor book, regional groups building a Singapore presence, competitors looking for consultants and clients, and senior managers buying through a management buyout. Groups tend to pay for contract margin, systems and a team that stays. Individual and management buyers pay for an agency they can run personally. Each values the same agency differently, so a quiet competitive process usually protects the price.
An employment agency licence is generally issued to the business entity, and the key appointment holder's certification belongs to that individual, so neither moves across in a sale of the business assets. That is why most agency sales are share sales, which keep the licensed entity intact. Changes to directors, shareholders or the key appointment holder usually need to be notified to, or approved by, MOM, and if the licensed person is you, the buyer needs a certified replacement in place. Check the current requirements with your lawyer before any buyer is approached.
Our sale fee is success-based and paid on completion: no sale, no fee. A written valuation is a separate fixed fee, agreed and paid before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes. The first conversation, a short questionnaire and our written recommendation on which valuation fits are free and carry no obligation.
Often not all of it. Because gross profit can leave with consultants or clients, buyers of recruitment agencies commonly pay part of the price at completion and the rest deferred, or as an earn-out linked to gross profit over the following one to two years. That is not a reason to avoid a sale. It is a reason to negotiate the terms carefully: what counts towards the target, who runs the desks, and what happens if the buyer changes the business. We set those terms out early, in writing.

Clearmere is confidential M&A advisory for owner-operated SMEs, typically S$1m to S$20m in revenue. The lower-mid market the large firms overlook and generalist brokers tend to fumble. You get senior attention on your sale, not a junior and a template.
Ben takes on a small number of mandates at a time, personally. The 70-plus deal record sits with the advisory team and is honest experience across owner-operated Singapore businesses, now being extended to established businesses across sectors.
Your valuation is private, and there is no obligation to sell. If it is not the right time, you keep the report and have told no one.
