A confidential way for owners of Singapore insurance brokerages and independent financial advisory firms to understand what the firm is worth and explore a sale. No listing, no industry chatter, and nothing reaches your representatives or your clients until you decide.
A private read on your number. No commitment, no call required, nothing on the record.
Most owners we speak to have spent years building what they have. When they start to think about selling, the same three worries surface. We take all three off your plate, in this order.
In advisory, a rumour can unsettle representatives and move clients before you have decided anything. Nothing is listed and nothing is named, so they hear about a sale from you, on your timing.
Most owners guess at their number. We start with a clear, evidence-based view of value and prepare your financials so a buyer pays for what the firm is genuinely worth.
A signed offer is the easy part. We run the process to completion, including the awkward steps, so it holds together to the end rather than drifting and dying.
The promise should feel concrete, not like a slogan. Here is exactly how your name, your team and your clients stay protected until you are ready.
Your firm is shown only after a buyer has signed an NDA and you have approved them by name. No open marketplace, no broker board.
Early documents carry a reference code, not your name or address, so nothing identifying circulates while interest is being gauged.
You approve every step and every buyer before they learn who you are. The process runs at your pace, never ahead of it.
Buyers of advisory and broking firms pay for income that stays after the sale. We normalise the accounts, separate renewal and recurring fee income from one-off commission, and show which client relationships belong to the firm rather than to individuals.
We normalise your financials so the buyer sees the true earning power of the firm, not the owner's personal lens on it.
Renewal commission, trail and advice fees from clients who deal with the firm are worth far more than new business written by one producer. We evidence that mix and the retention behind it.
Licensing standing, the compliance record and how many representatives are likely to stay all shape the price and the structure. We get ahead of each before a buyer asks.
Businesses like yours in Singapore typically sell for 2.5x to 3.5x normalised EBITDA.
Firms whose client relationships and renewal or fee income belong to the firm reach the top of the range, while books that follow individual representatives sit lower, and earn-outs or clawbacks tied to client retention are common. The upper end, around 5x, usually needs competing buyers and a business that runs without you. These are conservative ranges from Singapore SME transactions, not a valuation.
We approach larger advisory and broking groups, regional and international firms and management teams quietly, the buyers who understand regulated advice and pay for a book that stays.
MAS change-of-control approval, representative appointments, product provider agreements, client data and consent, and retention-linked terms are handled early, not surfaced late.
Your name stays out of the market until an NDA is signed. No public listing, no broker board, nothing your team can stumble on.
You work directly with Ben from start to finish. No being handed to a junior once the engagement begins.
Our job is a deal that closes, not a listing that lingers for a year. We manage the path from offer to a clean close.
We read the things a generalist broker misses, the dependencies a buyer probes and that quietly cut a price if ignored.
The team behind 70+ owner-operated transactions across Singapore, now extending the same playbook to established businesses across sectors.
Start with a short questionnaire by email, under NDA. For a fixed fee, we tell you honestly what your firm is worth and what would lift it.
If a sale fits, we agree the approach. If the timing is wrong, we can stay on as your adviser and get the business ready to sell.
We approach the right buyers discreetly, each NDA-gated and approved by you. Never the open market.
We manage due diligence, licence and lease transfer, and the difficult conversations, through to signing.
Off-market and NDA-gated. Nothing is publicly listed and nothing carries your name. Early materials use a reference code instead of your firm name, and buyers see identifying details only after signing an NDA you have approved by name. Representative and client details are shared later still, once a buyer is committed. You decide when your representatives, staff and clients are told, which matters in a sector where unsettled producers can leave and take relationships with them.
A firm is priced off normalised earnings, meaning the accounts adjusted for owner-specific costs so a buyer sees the real earning power. What moves the number most is how much income is recurring, such as renewal commission and advice or asset-based fees, whether client relationships sit with the firm or follow individual representatives, reliance on a few top producers, and the compliance record. Owner-operated firms in Singapore typically change hands at roughly 2.5 to 3.5 times normalised EBITDA, with up to about 5 times only for larger firms with firm-owned, recurring income and competing buyers. We give you a written valuation under NDA, for a fixed fee credited against our success fee if you sell with us.
Mostly larger financial advisory and broking groups adding representatives, clients or a specialism, regional and international firms seeking a licensed Singapore presence, and senior advisers or management teams buying the firm they help run. Some private equity-backed platforms also consolidate advisory firms. Buyers read the same book very differently depending on how much of it they expect to keep, which is why approaching several quietly usually beats accepting the first approach.
Usually, yes, in some form. A change in who controls a licensed financial adviser or a registered insurance broker generally needs MAS approval, and the regulator will usually look at whether the incoming owners are fit and proper. The exact requirements depend on your licence, the size of the stake changing hands and how the deal is structured, so check the position with your lawyer at the start. Most buyers make regulatory approval a condition of completion, so the timetable should allow for it from the outset.
Our sale fee is success-based and paid on completion: no sale, no fee. A written valuation is a separate fixed fee, agreed and paid before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes. The first conversation, a short questionnaire and our written recommendation on which valuation fits are free and carry no obligation.
Because the risk they fear most is paying for clients and representatives who then leave. Part of the price is commonly deferred, or adjusted to how much of the book or the recurring income is retained over an agreed period after completion. That is normal in this sector, but the terms decide what you actually receive: the measurement period, how retention is counted, and what happens if the buyer changes products or the team. We negotiate those terms carefully and aim to maximise what you receive at completion.

Clearmere is confidential M&A advisory for owner-operated SMEs, typically S$1m to S$20m in revenue. The lower-mid market the large firms overlook and generalist brokers tend to fumble. You get senior attention on your sale, not a junior and a template.
Ben takes on a small number of mandates at a time, personally. The 70-plus deal record sits with the advisory team and is honest experience across owner-operated Singapore businesses, now being extended to established businesses across sectors.
Your valuation is private, and there is no obligation to sell. If it is not the right time, you keep the report and have told no one.
