Confidential M&A advisory · Construction & M&E contractors · Singapore

Sell your contracting company without a word getting out.

A confidential way for owners of Singapore construction, M&E and specialist contracting companies to understand what the business is worth and explore a sale. Nothing reaching your clients, subcontractors or site teams, and nothing public until you decide.

A private read on your number. No commitment, no call required, nothing on the record.

What owners tell us

You built it. Now you want a quiet way out.

Most owners we speak to have spent years building what they have. When they start to think about selling, the same three worries surface. We take all three off your plate, in this order.

The first worry

Clients and site teams finding out

Word of a sale can reach a main contractor or a client's tender panel before you are ready. Nothing is listed and nothing is named, so your clients, your staff and your subcontractors hear it from you, on your timing.

The second worry

Leaving money on the table

Most owners guess at their number. We start with a clear, evidence-based view of value and prepare your financials so a buyer pays for what the company is genuinely worth.

The third worry

The deal falling through

A signed offer is the easy part. We run the process to completion, including the awkward steps, so it holds together to the end rather than drifting and dying.

How we protect you

Confidentiality is the starting point, not an add-on.

The promise should feel concrete, not like a slogan. Here is exactly how your name, your team and your clients stay protected until you are ready.

Buyers see nothing until they sign

Your company is shown only after a buyer has signed an NDA and you have approved them by name. No open marketplace, no broker board.

Materials are code-named

Early documents carry a reference code, not your name or address, so nothing identifying circulates while interest is being gauged.

Nothing moves without your say-so

You approve every step and every buyer before they learn who you are. The process runs at your pace, never ahead of it.

What your company is worth

A properly argued number protects your price.

Contractors are rarely priced on their best year. We average the earnings over several years, test the order book and the receivables, and set the result against the net tangible assets, which in this sector are often the real anchor.

01

Earnings and add-backs

We normalise your financials so the buyer sees the true earning power of the company, not the owner's personal lens on it.

02

Order book, retentions and receivables

A buyer looks hard at the quality and margin of the work in hand, and at how much cash is tied up in retention monies and slow receivables. We evidence all three before a buyer asks.

03

BCA grades, term contracts and key people

Registration grades held by the company, recurring maintenance and term contracts, and the qualified staff the grades depend on all move the number. We check early that each one carries through the sale.

Indicative range

Businesses like yours in Singapore typically sell for 2x to 3x normalised EBITDA.

Measured on a three-to-five-year average rather than the peak year, project-based contractors sit at about 2 to 4 times, recurring maintenance and term-contract businesses at about 3 to 5 times, and net tangible assets are often the real anchor. The upper end, around 4x, usually needs competing buyers and a business that runs without you. These are conservative ranges from Singapore SME transactions, not a valuation.

Why Clearmere

The right buyers, approached quietly

We approach listed contractors and engineering groups, regional acquirers and competitors discreetly, the buyers who pay for a sound order book, the right grades and a team that stays.

We manage the hard transfers

BCA registration and licensing, key qualified personnel, performance bonds and personal guarantees, retention monies, receivables and site-team retention are handled early, not surfaced late.

Discretion by default

Your name stays out of the market until an NDA is signed. No public listing, no broker board, nothing your team can stumble on.

You deal with the founder

You work directly with Ben from start to finish. No being handed to a junior once the engagement begins.

Certainty of completion

Our job is a deal that closes, not a listing that lingers for a year. We manage the path from offer to a clean close.

An operator's eye on risk

We read the things a generalist broker misses, the dependencies a buyer probes and that quietly cut a price if ignored.

The team behind 70+ owner-operated transactions across Singapore, now extending the same playbook to established businesses across sectors.

How it works

Four quiet steps to a clean close.

01

A confidential valuation

Start with a short questionnaire by email, under NDA. For a fixed fee, we tell you honestly what your company is worth and what would lift it.

02

A clear picture of your options

If a sale fits, we agree the approach. If the timing is wrong, we can stay on as your adviser and get the business ready to sell.

03

A quiet, targeted process

We approach the right buyers discreetly, each NDA-gated and approved by you. Never the open market.

04

A clean completion

We manage due diligence, licence and lease transfer, and the difficult conversations, through to signing.

Questions owners ask

Straight answers, before you speak to anyone.

How do I sell my construction or M&E company confidentially?

Off-market and NDA-gated. Nothing is publicly listed and nothing carries your name. Early materials use a reference code instead of your company name, buyers see identifying details only after signing an NDA you have approved by name, and you decide when your staff, clients and subcontractors are told. Many likely buyers are competitors who tender against you, so what they see, and at what stage, is controlled step by step.

What is my construction or M&E company worth?

It is priced off normalised earnings averaged over three to five years, not the peak year, because project profits are uneven. Net tangible assets are often the real anchor, and buyers look closely at order book quality, retention monies and receivables, and the BCA registration grades the company holds. Project-based contractors in Singapore typically change hands at roughly 2 to 3 times average normalised EBITDA, with up to about 4 times only for stronger businesses with competing buyers. Companies built on recurring maintenance or term contracts sit higher, at around 3 to 5 times. We give you a written valuation under NDA, for a fixed fee credited against our success fee if you sell with us.

Who buys construction and M&E companies in Singapore?

Listed Singapore contractors and engineering groups adding capability, grades or capacity, regional acquirers wanting a Singapore platform, competitors buying an order book or a specialist team, and sometimes the management team through a buyout. Maintenance-led businesses also attract facilities management groups. Strategic buyers usually pay for grades, term contracts and qualified people that take years to build, which is why approaching several quietly usually protects the price.

Do my BCA grades transfer to the buyer?

Registration grades are generally held by the company, so in a sale of shares they usually stay with it, while in a sale of the business and assets they generally do not follow automatically. Either way, the company must keep meeting the requirements behind each grade, including financial thresholds and qualified personnel, after you leave. If a grade or licence depends on you or a key engineer, a buyer will want that person retained or replaced. Confirm the position with your lawyer and BCA's current rules before going to market.

What does Clearmere charge to sell a construction or M&E company?

Our sale fee is success-based and paid on completion: no sale, no fee. A written valuation is a separate fixed fee, agreed and paid before we start, and credited in full against our success fee if you sign with us within 6 months and the sale completes. The first conversation, a short questionnaire and our written recommendation on which valuation fits are free and carry no obligation.

Why do buyers ask for earn-outs and guarantees on receivables?

Because so much of a contractor's value sits in work not yet finished and money not yet collected. Buyers commonly pay part of the price later, tied to future earnings or to the collection of receivables and retention monies, and may ask you to make good amounts that turn out to be unrecoverable. These terms are normal, but they are negotiable. What you agree to, for how long and how disputes are resolved is worth negotiating carefully, alongside the release of any personal guarantees and performance bonds you have given.
